Terms of Service

1. Acceptance of Terms

By accessing or using Lemma's organization intelligence platform and related services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Lemma provides an organization intelligence and HR governance platform that includes:

• HR management and employee data management tools
• Attendance tracking and management systems
• Legal document and case management
• AI-driven organizational insights and analytics
• Client portal for read-only organizational intelligence
• Compliance monitoring and governance tools

Services are provided on a subscription basis and are subject to the plan features and limits applicable to your subscription.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or our acceptable use policies.

4. Subscription and Billing

Access to Lemma is currently invite-only. When billing is activated:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to modify pricing with 30 days notice
• Failure to pay may result in suspension of access

5. Data Ownership and License

5.1 Your Data

You retain ownership of all data you upload, input, or create within the Services ("Your Data"). By using the Services, you grant Lemma a limited license to process Your Data solely to provide the Services.

5.2 Our Platform

Lemma retains all rights to the platform, software, AI models, and related intellectual property. No rights are transferred to you except the limited right to use the Services as described herein.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Process personal data without appropriate legal basis
• Interfere with or disrupt the Services or connected systems
• Attempt to gain unauthorized access to any part of the Services
• Transmit malicious code or conduct security attacks
• Reverse engineer, decompile, or disassemble the platform
• Use the Services to compete with Lemma

7. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy. When using our Services to process employee data, you are responsible for:

• Ensuring lawful basis for processing personal data
• Obtaining required employee consents
• Complying with applicable data protection regulations (PDPA, GDPR, etc.)
• Maintaining appropriate privacy notices for your employees

8. Service Availability

We aim to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by events outside our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Lemma shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

AI insights and compliance suggestions provided by the Services are for informational purposes only and do not constitute legal, financial, or HR advice. You are responsible for all decisions made based on Service outputs.

10. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free or meet your specific requirements.

11. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Services will cease
• You may request export of Your Data within 30 days
• We will delete Your Data after the retention period
• Provisions that should survive termination will remain in effect

12. Governing Law

These Terms are governed by the laws of Taiwan (R.O.C.), without regard to conflict of law provisions. Disputes shall be resolved in the courts of Taipei, Taiwan.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
